All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of India. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

License

We follow the Software as a service (“SaaS”), which is a software licensing and delivery model in which, upon a subscription basis, we license our software to our "Client(s)" and/or "User(s)" on an “as is” basis, through which host applications over the internet to provide Services without any warranty implied.

Unless otherwise stated, CAMSNEL SaaS LLP and/or it’s licensors own the intellectual property rights for all material on CAMSNEL SaaS LLP. All intellectual property rights are reserved. You may view and/or print pages from https://camsnel.com* for only your own personal use subject to restrictions set in these terms and conditions.

You must not:

NATURE OF SERVICES AND ACCESS TO SERVICES

Subject to the terms and conditions contained herein, We require each of our Clients who desire to our Services to hold an independent account with us (“Subscription Account”).

The "Client(s)" and/or "User(s)" shall access and use the Services solely for the "Client(s)" and/or "User(s)" own internal business purposes and strictly not for the purpose of resale, or further distribution. The "Client(s)" and/or "User(s)" right to use the Services is limited by all terms and conditions herein.

Free Trial:

• To every new "Client(s)" and/or "User(s)", we provide a free trial period of either 14 (Fourteen) days, based on certain criteria, at the sole discretion of CAMSNEL.

Payment:

• Payment shall be made on a prepaid basis by the "Client(s)" and/or "User(s)" for availing the CAMSNEL Services. The payment for the CAMSNEL Services may either be on a monthly basis, or an annual basis, based on the plan opted for by the "Client(s)" and/or "User(s)".
• In the case of CAMSNEL Services, if the number of Contacts exceeds the threshold in the free plan, the free plan need to manually upgrade to the unlimited plan . The unlimited plan will continue to apply from the next month automatically, upon the occurrence of such an incident.
• In the case of CAMSNEL Services, if the Storage exceeds the threshold in the free plan, the free plan need to manually upgrade as per your need. And it will continue to apply from the next month automatically, upon the occurrence of such an incident.
• We do not provide the equipment or facilities required for our "Client(s)" and/or "User(s)" to access our Services. The "Client(s)" and/or "User(s)" is solely responsible, and shall be liable to pay all fees charged by any third party related to "Client(s)" and/or "User(s)" access and use of the Services.
• CAMSNEL does not provide maintenance, or guarantee the continued function of its code. We also reserve the right to change, discontinue, delete and/or deprecate, at any time and at our sole discretion, any product feature, or support service that may be made available to or accessible by "Client(s)" and/or "User(s)", including through the Services.

Responsibilities

• "Client(s)" and/or "User(s)" shall use the Services only in compliance with all applicable laws, including any applicable privacy laws, and the Terms of Service, Privacy Policy and GDPR.
• It is our "Client(s)" and/or "User(s)" responsibility to protect their username and password to the Subscription Account to help prevent anyone from accessing or abusing the Subscription Account and Services.
• We shall not be responsible if the act of embedding the code, or attempting to embed the code on the Website breaks, stops or hinders the functioning of the website.
• It shall also be the responsibility of the "Client(s)" and/or "User(s)" to ensure that, any contact details entered on our server while availing of the CAMSNEL Service, are true and accurate and have not been obtained by any illegal means, and does not violate any person’s rights.
• The Data/information shall not be shared by us unless otherwise required by law.
• It shall be the "Client(s)" and/or "User(s)" responsibility to make its Members understand that the "Client(s)" and/or "User(s)", and CAMSNEL are independent parties, and will have no power or authority to assume or create any obligation or responsibility on behalf of each other. If such liability arises, the "Client(s)" and/or "User(s)" shall promptly on demand, indemnify , defend and hold harmless, CAMSNEL from and against any and all clams for any costs, losses, liabilities, damages, lawsuits, deficiencies and expenses (such as disbursements of attorneys).
• "Client(s)" and/or "User(s)" shall not, and shall not permit or authorize any third party to: (i) copy, rent, sell, lease, sublicense, distribute, assign, or otherwise transfer or encumber rights to the Services, or use the Services for the benefit of any third party, or make the Services available to any other party; (ii) use the Services to send spam or otherwise duplicative or unsolicited messages in violation of applicable laws, or to process, send or store Sensitive Information, infringing or unlawful material, viruses, worms, time bombs, Trojan horses or other harmful or malicious code, files, scripts, agents or programs; (iii) circumvent or disable any digital rights management, usage rules, or other security features of the Services, or otherwise attempt to gain unauthorized access to, or disrupt the integrity or performance of, the Services or the data contained therein; (iv) modify, copy, translate, enhance, decompile, disassemble, reverse engineer or create derivative works based on the Services, or any portion thereof; (v) access or use the Services for the purpose of building a competitive product or service or copying its features or user interface; (vi) remove, alter, or obscure any copyright, trademark or other proprietary notices appearing in or on the Services; or (vi) use the Services in a manner that overburdens, or that threatens the integrity, performance, or availability of, the Services.
